Terms of Service

These terms explain how Unblock Partners works, how partners and merchants may use the platform, and the rules that apply to accounts, profiles, client opportunities, projects, resources, payouts, and managed delivery.

Introduction

Unblock Partners (“Unblock,” “we,” “us”) is a partner ecosystem for independent commerce builders, freelancers, contractors, agencies, and Shopify-focused experts. The platform helps partners package, manage, and route modern Shopify storefront work — including custom storefronts, AI visibility, conversion optimization, app cleanup, proposals, referrals, and managed delivery.

By creating an account, publishing a profile, submitting a client opportunity, or otherwise using the platform, you agree to these Terms of Service. If you do not agree, please do not use Unblock Partners.

Account Terms

  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the security of your account credentials.
  • You must be authorized to represent any agency, business, or organization associated with your account.
  • You may not impersonate another person, brand, or organization.
  • Unblock may suspend or terminate accounts for misuse, fraud, abuse, or policy violations.

Partner Profiles and Directory

Partners may create individual, agency, or studio profiles. Profiles may include name, logo, cover image, bio, services, skills, tech stack, portfolio, availability, project range, links, and contact information.

  • Published profiles may be visible publicly and indexed by search engines.
  • Unblock may review, approve, hide, edit, reject, or remove profiles that are incomplete, misleading, low quality, or that violate platform standards.
  • Directory visibility is not guaranteed.
  • Verified or certified status may require additional review.

Merchant Requests, Opportunities, and Referrals

  • Merchants may request help, submit project briefs, or search for partners.
  • Partners may submit qualified client opportunities or referrals.
  • Opportunities must be accurate and submitted in good faith.
  • You may not submit spam, fake opportunities, scraped personal data without a lawful basis, or misleading opportunities.
  • Unblock may review, qualify, reject, or route opportunities at its discretion.
  • Referral rewards, where offered, depend on eligibility and the applicable program rules.

Submit real opportunities only. Unblock may qualify and route them before any payout or project begins.

Projects and Managed Delivery

  • Unblock may support scoped projects between merchants and partners.
  • Projects may include storefront rebuilds, optimization, AI visibility work, app cleanup, analytics, proposals, or retainers.
  • Partners remain responsible for the quality, timeliness, and accuracy of their work.
  • Merchants are responsible for reviewing deliverables and providing timely feedback.
  • Managed delivery, milestone approvals, QA, and payout release may be handled through Unblock where enabled.
  • Unblock is not automatically a party to every direct engagement unless the project is routed or managed through the platform.

Partner Earnings and Payouts

  • Partners may be eligible to earn payouts from approved projects, referrals, or managed delivery work.
  • Payouts may depend on project completion, merchant approval, refund windows, dispute status, tax requirements, and verification.
  • Partners must provide accurate payout and tax information.
  • Unblock may withhold or delay payouts for fraud, disputes, incomplete work, chargebacks, compliance checks, or missing information.
  • Payout terms may vary by project or program.

Partners get paid for approved work or eligible referrals after the required review and payout conditions are met.

Platform Fees

  • Unblock may charge merchants or project sponsors platform fees, managed delivery fees, service fees, project fees, or success fees.
  • Partners join free unless a paid partner product is introduced later.
  • Fees may be deducted from project payments where applicable.
  • Fee structures may change with notice.
  • Any active project should follow the fee structure agreed at the time of scope approval.

Resources, Templates, Prompts, and Tools

  • Unblock may provide templates, scripts, prompts, proposal frameworks, audit frameworks, guides, and other resources.
  • These resources are provided for guidance and productivity.
  • You are responsible for reviewing, editing, and adapting them before use.
  • Unblock does not guarantee that any template or prompt will produce specific commercial results.
  • You may not resell, redistribute, scrape, or clone Unblock resources outside the platform without permission.

Use Unblock resources to work faster, but review everything before using it with a client.

Acceptable Use

You may not:

  • Use the platform for spam or unsolicited outreach at scale.
  • Misrepresent your skills, credentials, or client work.
  • Submit fake opportunities or fabricated project histories.
  • Circumvent Unblock on routed or managed projects.
  • Harass, threaten, or defame other users.
  • Upload malware, exploits, or malicious code.
  • Scrape, harvest, or abuse partner or profile data.
  • Violate applicable privacy or data-protection laws.
  • Infringe intellectual property rights.
  • Use the platform for any illegal or deceptive activity.

Anti-circumvention. If a merchant, opportunity, referral, or project is introduced, routed, matched, scoped, or managed through Unblock, you may not bypass Unblock to avoid platform fees, payout workflows, or agreed project terms.

Shopify and Third-Party Platforms

  • Unblock is independent and is not owned, operated, endorsed, or sponsored by Shopify.
  • Shopify and related trademarks are the property of Shopify Inc.
  • You are responsible for complying with Shopify’s terms, APIs, app rules, store access rules, and merchant agreements.
  • Partners must only access merchant stores, accounts, data, or systems with explicit permission.
  • Unblock may reference Shopify because partners and merchants operate on Shopify infrastructure.

Confidentiality and Client Information

  • Partners and merchants may share confidential business, store, customer, analytics, or project information during their engagement.
  • You must protect confidential information you receive through the platform.
  • You may not disclose private client information without the client’s permission.
  • Portfolio examples should be anonymized unless you have permission to disclose them.
  • Store access, customer data, and business data must be handled responsibly.

Intellectual Property

  • You keep ownership of your profile content, portfolio content, and uploaded materials.
  • You grant Unblock permission to display published profile and directory content.
  • Project deliverable ownership follows the project agreement between the merchant, partner, and Unblock where applicable.
  • Unblock owns its platform, design system, workflows, templates, prompts, brand, and proprietary materials.
  • You must not upload content you do not have rights to use.

AI-Assisted Outputs

  • Unblock may provide AI-assisted prompts, workflows, drafts, summaries, audits, or recommendations.
  • AI-assisted outputs may be inaccurate, incomplete, or unsuitable for a given context.
  • You must review all AI-assisted work before relying on it or sending it to a client.
  • Unblock does not guarantee AI-generated commercial, SEO, legal, tax, or technical results.

AI helps speed up work, but humans are responsible for reviewing and approving final outputs.

Reviews, Verification, and Certification

  • Unblock may offer profile review, verification, certification, partner levels, or managed delivery eligibility.
  • These signals are quality indicators; they are not guarantees of performance.
  • Unblock may revoke or change statuses if standards are not maintained.
  • Certification or verification may require profile completion, work review, identity/business checks, methodology completion, or platform activity.

Payments, Refunds, and Disputes

  • Merchant payments may be collected for managed projects or services where enabled.
  • Refunds and disputes depend on project scope, milestone approval, work status, and the applicable payment rules.
  • Unblock may mediate disputes but does not guarantee outcomes.
  • Chargebacks, fraud, or non-payment may affect payouts.
  • You agree to cooperate with Unblock’s dispute review process.

Termination

  • You may stop using the platform at any time.
  • Unblock may suspend or terminate accounts for misuse, fraud, non-payment, policy violations, or harmful conduct.
  • Published profiles may be removed if an account is closed or suspended.
  • Some obligations survive termination, including confidentiality, payment obligations, intellectual property rights, and dispute terms.

Disclaimers

  • The platform is provided “as is” and “as available.”
  • Unblock makes no guarantee of client opportunities, income, rankings, traffic, AI visibility, search performance, conversion improvement, project volume, or merchant demand.
  • No guarantee that a partner will be selected for any specific opportunity.
  • No guarantee that a merchant will accept or approve any given piece of work.
  • Nothing on the platform constitutes legal, tax, financial, or professional advice.

Limitation of Liability

To the maximum extent permitted by law, Unblock is not liable for indirect, incidental, consequential, or special damages, including lost profits, lost data, lost business, or third-party conduct. Where liability cannot be excluded, Unblock’s total liability is limited to the amounts you have paid to Unblock in the twelve months preceding the event giving rise to the claim.

Changes to These Terms

  • Unblock may update these terms from time to time.
  • Material changes may be posted on the platform or communicated by email.
  • Continued use of the platform after an update means acceptance of the updated terms.
